Second, Heinz Gravy® and its affiliated company shall own all right, title and interest in any submitted materials (including any associated intellectual property rights), and you hereby assign such right, title and interest to Heinz Gravy® and its affiliated company without compensation to you. By submitting materials, you hereby represent and warrant that you have the authority to grant such rights to Heinz Gravy®

Finally, you agree neither to assert nor to cause or encourage others to assert against Heinz Gravy® or its designees any claim based on misappropriation, infringement, confidential relationship, implied contract or otherwise arising out of any use by Heinz Gravy® or its designees of any submitted materials.
